Can a foreigner own property outright in Bali?

Not freehold. Hak Milik — full ownership title — is reserved for Indonesian citizens. Foreigners have three legal routes instead: Hak Pakai (right to use), held personally if you have a valid stay permit; Hak Guna Bangunan (right to build), held through an Indonesian foreign investment company; or a leasehold agreement, which is the most common structure for villas in Bali.

Freehold is permanent ownership of the land. Leasehold is a contractual right to use it for a fixed term, typically 25 or 30 years with pre-agreed extension options written into the deed. You own the building and the right to occupy, not the land itself. Most foreign-owned villas in Canggu, Ubud and Uluwatu are held this way.

No. Buying land in an Indonesian citizen’s name with a side agreement giving you control is not enforceable. Indonesian agrarian law treats such arrangements as void, and the courts have repeatedly ruled that side agreements carry no weight — the land legally belongs to the nominee, and in a dispute it can revert to the state. It remains common in Bali and it remains the single largest source of foreign buyers losing everything.

A PT PMA is an Indonesian limited company with foreign shareholding. It’s required if you want to hold Hak Guna Bangunan title, or if you plan to rent your villa out commercially. Renting to guests without one is unlicensed business activity. Setup involves a minimum investment commitment and paid-up capital, and the licence classification has to match what you actually intend to do.

What should be checked before I sign anything?

Certificate verification at the National Land Agency, confirming the seller’s identity matches the title and has authority to sell, checking for existing mortgages or encumbrances, land history and boundary accuracy, outstanding land tax, and zoning. Zoning matters most — land in a green belt cannot be built on regardless of what a seller tells you.

The seller pays final income tax on the sale value; the buyer pays land and building acquisition duty above a regional threshold. Leasehold works differently — rental income tax is withheld on payments to an Indonesian landowner. Annual land and building tax continues for as long as you hold the property. Rates change, so get current figures before you budget.

Yes. The building approval regime replaced the old IMB system, and a certificate of functional worthiness is required before a building can legally be occupied. Buying an existing villa without valid permits transfers the problem to you. Bali has been actively enforcing against unpermitted construction, so this is not a formality.

Leasehold rights pass to your heirs for the remainder of the term, provided the deed is drafted to allow it — many are not. Hak Pakai is different: it depends on your holder maintaining a valid stay permit, and heirs generally have a limited window to either qualify or transfer the right. Succession planning should be handled at the point of purchase, not afterwards.
